1.3Product Specifications and Analytical Documentation
Product documentation, including lot-specific Certificates of Analysis (COAs), may be requested from TEK TIDES LABS Customer Support. Documentation is provided when available and applies only to the product or lot identified in the documentation. Stated specifications are supplied for reference and do not constitute a guarantee of suitability for a particular experimental objective.
1.4Ordering, Account Verification, and Right of Refusal
All orders placed through our website or direct communications are subject to formal acceptance by TEK TIDES LABS LLC. We reserve the right to verify purchaser identity and delivery addresses prior to order processing.
The Supplier reserves the absolute right to cancel, hold, or reject any order at its sole discretion, including instances where: (a) the delivery address cannot be verified; (b) the transaction presents regulatory or safety concerns; or (c) typographical errors occur in pricing or catalog listings. Purchaser should inspect shipments on receipt and notify TEK TIDES LABS as soon as reasonably practicable after discovering shipping damage, a shortage, an incorrect or missing item, or another discrepancy, ideally with the order number and photographs where available. Prompt reporting helps verify the condition of a shipment and obtain information from the carrier. Delay in reporting does not by itself forfeit any right the Purchaser has under applicable law, and any resolution remains subject to applicable law and the Refund & Return Policy.
1.6Intellectual Property and Proprietary Materials
All content, text, graphics, analytical charts, product nomenclature, logos, and website materials published by TEK TIDES LABS LLC are the proprietary intellectual property of the Supplier and protected by applicable copyright, trademark, and trade dress laws.
Purchasers are granted a limited, non-exclusive license to review and retain Certificates of Analysis and technical data sheets solely for internal laboratory documentation and compliance records. No commercial redistribution, reproduction, or republication of technical assets is permitted without prior written consent.
1.7Regulatory Compliance and Hazardous Material Handling
Purchaser acknowledges that laboratory materials may possess physical, chemical, or biological hazards that require rigorous safety measures. Purchaser assumes full responsibility for complying with all applicable local, state, federal, and international regulations governing the receipt, storage, containment, handling, and environmental disposal of all materials.
Purchaser agrees to adhere to Occupational Safety and Health Administration (OSHA) standards and relevant Material Safety Data Sheet (MSDS/SDS) guidelines when handling any supplied items.
1.8Limitation of Liability and Indemnification
To the maximum extent permitted by applicable law, TEK TIDES LABS LLC disclaims all implied warranties, including warranties of merchantability and fitness for a particular experimental purpose. To the maximum extent permitted by applicable law, in no event shall the Supplier, its officers, employees, or affiliates be liable for indirect, incidental, special, consequential, or punitive damages arising from the purchase, handling, storage, or experimental application of its products.
Subject to the final paragraph of this clause and to the maximum extent permitted by applicable law, the Supplier's total aggregate liability for any claim arising out of these Terms or the sale of goods shall not exceed the total amount actually paid by Purchaser for the specific product giving rise to the claim.
Purchaser agrees to defend, indemnify, and hold harmless TEK TIDES LABS LLC against any third-party claims, liabilities, losses, costs, or damages arising out of Purchaser's breach of these Terms, unauthorized use of products, or improper laboratory handling.
Nothing in these Terms excludes, restricts, or limits any warranty, right, remedy, or liability that cannot be excluded, restricted, or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct, and any non-waivable rights of a Purchaser under applicable consumer protection law. Where applicable law does not permit a particular disclaimer or limitation, it applies only to the extent permitted.
